An Enforceability Story

The following abstract is the result of my work for the Environmental and Energy Law Section of the Pennsylvania Bar Association during the Summer of 2011. A link to the full article will be available upon publication. It has been written to provide public administrators and advocates with guidance on the risks and rewards of performance contracting.

ABSTRACT: Over the last decade, performance contracting has emerged within the Commonwealth of Pennsylvania as a valuable means of funding the implementation of a broad range of energy conservation measures. Simply put, performance contracting is a procurement strategy that a governmental unit can utilize to pay for the implementation of energy conservation measures with the savings they produce. This article outlines the enforceability challenges that emerge when the profitability of an energy service company is relational to the overall risk exposures of its outstanding guarantees. Analyzes six legal issues: commencement of the guarantee period; reconciliation of guaranteed savings; stipulated savings; contract management; service responsibilities; and dispute resolution. Presents a two part solution to the enforceability challenge. And concludes by positioning enforceability as the foundation of tax payer confidence in the performance contracting model and the jobs it creates.

On Law School Outlines

Abstract: Paragraphatize, or To Outline by Prethinking and Predrafting is a strategy for law school outlines.  It advocates a process for moving the traditional, bulleted outline into an assemblage of paragraphatized Rule-Explanation statements for ready insertion during the exam period; with paragraphatize defined as the process of assembling bullets into paragraph answers that naturally occurs during the exam in response to the Issue presented.  Logic being, that if this step is necessary for all questions answered in IReAC format, and it can be manifested in anticipation of likely questions, then why not draft and cite the available likely options in advance to maximize the amount of available, fact specific Analysis and Conclusion time during the exam.

This post is a follow up for those who have been introduced to this concept verbally.  My preference is to include a simple example wherever possible; ergo...

The "Dormant" Commerce Clause 1-2-3

Some concepts are inherently irreducible.  The "Dormant" Commerce Clause, as the implied converse of the Commerce Clause, is one of those concepts.  The skeletal elements of are simple enough, however the application of those elements to the myriad variations of fact, purpose, and effects to arrive at a constitutionally consistent result is an art best handled by the sharpest of legal minds.  The following translation is presented for your consideration as both a challenge to identify any logical errors, and a welcome invitation to compare perspectives.
